Agreement to Terms

By creating an account, accessing the website, or using any PanelReady feature (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. The Service is operated by IDE Host (OPC) Pvt. Ltd. ("we", "us", "our"). These Terms form a legally binding agreement between you ("you" or "User") and us. You must be 18 or older to use the Service.

If you are using PanelReady on behalf of a university, bootcamp, employer, or other legal entity, "you" also refers to that entity, and you agree to be bound by these Terms on its behalf, even if we have a separate master services agreement (MSA) with it. Where the MSA conflicts with these Terms, the MSA controls.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you are expressly prohibited from using the Service and you must discontinue use immediately.

1. The Service

PanelReady is an AI-powered interview preparation platformfor Product Managers and the programs that train them. It uses adaptive AI to run mock interviews, score answers against published rubrics, and surface evidence-based feedback so candidates can rehearse against the level they're targeting (APM, Senior PM, Group PM, Director, etc.).

Interview preparation, not coaching. PanelReady is a self-serve software product. We do not provide human coaching, one-on-one career advice, mentorship, mock-panel orchestration, or any consulting service. Anything described as "feedback", "scoring", or a "rubric anchor" is generated by software, not by a human coach.

Practice only — never a copilot. The Service must not be used during a real, live interview to receive answers, hints, transcripts, or any in-the-moment assistance. This restriction applies to every plan and every user. See §6 for the long-form commitment.

2. Registration & accounts

To use most features, you must register for an account. You agree to provide accurate registration details (name, email, phone, country, locale) and keep them updated. You are solely responsible for all activity that occurs under your account, including activity by anyone you allow to use it.

You agree to keep your password and any API keys confidential. Tell us promptly at hello@getpanelready.com if you suspect unauthorized use. We may suspend an account that appears compromised while we investigate. We reserve the right to remove, reclaim, or change a username if we determine in our sole discretion that it is inappropriate, obscene, or otherwise objectionable.

You may create an account via a third-party service (e.g. Google, Apple, LinkedIn). In doing so, you agree to be bound by that provider's terms in addition to ours. Accounts are personal and non-transferable. A seat on a Cohort plan represents one named individual; you may re-assign the seat to a different person between candidates, but multiple people may not share a single login at the same time.

3. Prohibited conduct

You agree that you will not:

• Use PanelReady during a real, live interview to receive answers, hints, transcripts, or any in-the-moment assistance.
• Impersonate another person, misrepresent your current or former affiliation with an employer, or create an account for anyone other than yourself.
• Post content that is defamatory, libelous, or fraudulent; that you know to be false or misleading; or that does not reflect your honest opinion and experience.
• Act in a manner that is harassing, threatening, abusive, racist, bigoted, or otherwise objectionable (as determined by us).
• Promote, endorse, or further illegal activities.
• Disclose information in violation of any legally enforceable confidentiality, non-disclosure, or other contractual restriction — including any current or former employer's NDA-covered job descriptions, rubrics, or interview questions.
• Violate the privacy, publicity, copyright, patent, trademark, trade secret, or other intellectual property or proprietary rights of any third party.
• Post anything pornographic or sexually explicit in nature, or engage in the exploitation of persons in a sexual or violent manner.
• Imply a PanelReady or IDE Host endorsement or partnership of any kind without our express written permission.
• Send messages in violation of the USA CAN-SPAM Act or any other applicable anti-spam law.
• Introduce software or automated agents to the Service, produce multiple accounts, generate automated messages, or scrape, strip, or mine data from the Service without our express written permission.
• "Frame", "mirror", or otherwise incorporate part of the Service into any website, or deep-link to any portion of the Service, without our express written permission.
• Copy, modify, or create derivative works of the Service or any of our content (excluding your User Content) without our express written permission.
• Copy or use the rubrics, scoring prompts, question libraries, or other content of the Service in connection with a competing service, or to train a third-party model on our outputs.
• Sell, resell, rent, lease, loan, trade, or otherwise monetize access to the Service or any of our content (excluding your User Content) without our express written permission.
• Interfere with, disrupt, modify, reverse-engineer, or decompile any data or functionality of the Service; introduce any viruses, worms, time bombs, or similar software; or attempt to circumvent any security feature of the Service.
• Share a single seat across multiple candidates.

Violations may result in account suspension or termination, at our sole discretion. Refunds following termination for violation are governed by the refund policy.

4. User content & license

You retain ownership of the content you submit to the Service — your resume, your spoken interview answers and their transcripts, the job descriptions you paste in, your social profile URLs, and any other material you upload ("User Content"). This includes audio recordings of your voice interviews.

By submitting User Content, you grant IDE Host a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, transcribe, analyze, generate derivative summaries from, and display your User Content solely to operate, improve, and secure the Service for you and your authorized seat-holders. The license is bounded by these Terms and ends when you delete the content or your account (subject to short- window backup retention described in the Privacy Policy).

We do not use your User Content to train third-party foundation models. We do not sell or sublicense your User Content. We may use anonymized, aggregated signals (e.g. how often a follow-up about tradeoffs lands well at Senior level) to improve our rubrics, scoring prompts, and product priorities.

You confirm that you have all rights necessary to grant this license — for example, you have the right to upload the resume and any job descriptions you submit. You agree that the Service may share processing snippets of your User Content with the third-party language- and speech- model providers listed in the Privacy Policy strictly for the purposes of delivering feedback to you.

5. Our intellectual property

The Service — including its rubrics, scoring prompts, question libraries, frameworks, sample answers, the interviewer persona, the PanelReady name and logo, the parent company's brand and underlying software — is owned by IDE Host or its licensors and protected by copyright, trademark, and other applicable laws. Nothing in these Terms transfers ownership of any of it to you. You may not copy, redistribute, or create competing services from any of it.

We grant you a personal, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose — your own interview preparation.

6. The practice-only commitment

PanelReady will not build, sell, or operate any feature designed to assist a candidate during a real, live interview. This is a permanent product principle. If we ever change it, we will notify users at least 30 days in advance and honor refund requests proactively for users who object to the change.

7. AI-generated feedback disclaimer

Scores, band assignments, evidence quotes, and improvement suggestions are generated by language models against published rubrics. They are educational guidance, not a guarantee of any hiring outcome, not professional career advice, and not a recommendation that you accept or decline any particular role. The output may occasionally contain errors or inappropriate content; use it at your own risk. IDE Hostis not responsible for any decisions you make or actions you take based on the Service. It is your responsibility to verify any AI output before relying on it. PanelReady is not affiliated with, and does not represent, any specific employer's recruiting process.

8. Payment, credits, and subscriptions

Use of the paid tiers of the Service requires purchasing a subscription or credits. Billing is handled through a third-party payment processor; we process payment information in compliance with applicable data security standards. We are the seller of the Service for all charges that appear on your statement under PanelReady.

Paid plans renew automatically on the cadence you selected (monthly or annual) until you cancel. Prices and currency shown at checkout are authoritative. Where credits apply, they are valid for the duration specified at the time of purchase. Except as required by law and as detailed in the refund policy, all sales are final; we do not offer refunds for used credits or active subscriptions. You may cancel a subscription at any time from your billing screen, and it will remain active until the end of the paid period.

Failed payments may result in downgrade to the Free plan until the issue is resolved. Applicable taxes, foreign- transaction fees, and currency conversion fees are your responsibility.

9. Usage limits & account management

Every account and seat is subject to per-plan usage limits, rate limits, and fair-use policies to ensure system stability. You may not exceed these limits. We may throttle or suspend accounts that abuse the system. You are responsible for monitoring your usage. You may not share, sell, or transfer your account or any access token to others.

10. Third-party services

We use third-party APIs and hosting services strictly to run the Service. Where those providers' terms apply to your use of features they power, you accept those terms as part of accessing the Service. We do not identify individual providers here — the Privacy Policy covers the categories of processors that handle personal data on our behalf.

11. Service availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance is announced when feasible. Material outages affecting paid live voice interviews may be credited at our discretion under the refund policy — email hello@getpanelready.com within 30 days of the outage to request a credit.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be error-free, uninterrupted, or immune to security risks. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated content may be inaccurate or inappropriate; you use it at your own risk.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDE Host (OPC) Pvt. Ltd. AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, INCLUDING ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR HIRING OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. IN NO CASE WILL OUR AGGREGATE LIABILITY EXCEED THIS LIMIT. THIS LIMITATION APPLIES EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify and hold IDE Hostand its affiliates harmless from any claims or demands (including reasonable legal fees) made by any third party arising out of your User Content, your use of the Service, your violation of these Terms, your violation of any law, or your infringement of others' rights — including any claim that you used the Service during a real interview.

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time for violation of these Terms or for any conduct we deem harmful. Upon termination, your access will be revoked and you will forfeit any unused credits. We will not be liable for any consequences of termination. You may close your own account at any time from the settings screen.

Sections that by their nature should survive termination (User Content license for any retained copies, Our Intellectual Property, AI Disclaimer, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.

16. Changes to these Terms

We may modify these Terms at any time when the product, the law, or our infrastructure changes meaningfully. Material updates will be announced by email and on this page, with a revised "Last Updated" date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms; if you don't accept them, stop using the Service.

17. Governing law & disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. Any disputes arising under these Terms will be resolved exclusively in the competent courts of Bengaluru, Karnataka, India, except where applicable consumer-protection law gives you a non-waivable right to bring claims in your local courts, in which case those rights are preserved.

18. Entire agreement

These Terms, together with the Privacy Policy, the Refund Policy, and any signed MSA, constitute the entire agreement between you and IDE Host regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect.
